Daily or any successor publicati on reasonably agreed to by the Parties, for Natural Gas California Southern Border SoCal NGI per MMBtu. Contract Capacity means the 1 MW aggregate Capacity of the Generating Units. 4 LA\1.2 Contract Energy means the Energy associated with the Available Capacity dispatched by Buyer and required to be delivered by Seller to Buyer either as Net Facility Output or as Substitute Energy pursuant to Section 3.2 . Contract Price means the price in United States dollars (unless otherwise expressly provided for) to be paid by Buyer to Seller fo the purchase of the Product pursuant to this Agreement. Contract Year means each of the successive twelve ( month periods commencing with the Service Commencement Date. Costs means, with respect to the Non-Defa ulting Party, brokerage fees, commissions and other similar third party transaction cost and expenses reasonably incurred by the Non- Defaulting Party either in terminating any ar rangement pursuant to which it has hedged its obligations under the Agreement, or entering in to new arrangements which replace the Product, including any costs or penalties imposed upon uyer as Non-Defaulting Party for the loss of Capacity required to meet Buyers Resource Adequacy obligations or for replacing such Capacity to fulfill Buyers Resource Adequacy ob ligations; and all reasonable attorneys fees and expenses incurred by the Non-Defaulting Pa rty in connection with the termination of the Agreement. CPUC means the California Public Utili ties Commission or any successor thereto. Day-Ahead Market has the meaning set forth in the CAISO Tariff.
