Buyer Resource Adequacy Rulings means any Resource Adequacy rules or provisions established by Buyer as local publicly-owned electric utility serving end use customers pursuant to California Assembly Bill 3, and/or as Local Regulatory Authority within the meaning of the CAISO Tariff. CAISO means the California Independent Sy stem Operator, state chartered, nonprofit, public benefit corporation that cont rols certain transmission facilities of all participating transmission owners and dispatches certain electric generati on units and loads, or any successor entity performing the same functions. CAISO Tariff means the tariff and pr otocol provisions, as amended or supplemented from time to time, of the CAISO. Calendar Day means the period of twenty-four ( consecutive hours, beginning at 1:0 am PPT. Capacity means the maximum net dependable operating capability of generating resource to produce or generate Energy or Ancillary Services. Capacity Delivery Point means the connection on the switc hyard side of the generator transformer high voltage air isolator located on the Facility site. CEC means the California Energy Commission. Claiming Party has the meaning set forth in Section 6.1 . Claims means all third party cl aims or actions, threaten ed or filed and, whether groundless, false, fraudulent or othe rwise, that directly or indirectly relate to the subject matter of an indemnity, and the resulting losses, damages, expenses, atto rneys fees and court costs, whether incurred by settlement or otherwise, and whether such cl aims or actions are threatened or filed prior to or after the termination of this Agreement.
