that it cannot be prevented that Flender is granted access to person al data of the Customer, the Cust omer is obliged to info rm Flende in due ime before the Servic es are performe . The ustomer and Flender shall then agree on he actions to taken. 1. Suspen sion 1.1 Flender may uspend perfo rmance of its oblig ations under th Contract, if () the Cust omer is in delay with any payment or in providing any payment ecurity equired under this Contract fo more than 3 days, or (ii) the Customer fails to perfo rm thos of its obligations nec essary for Flen der to perfo rm the Servic es, or (iii) the ustomer other wise aterially breaches the Co ntract. 1.2 If Flender suspends the Contr act in accorda nce with Clause 1.1 or in the event the Customer suspends the Contract without the xpress written agreeme nt of Flender, the Cust omer shall become imme diately liable to pay Flender for all parts of the Servic es already provided. The Customer shall furthe reimbu rse Flender all reasonable additional osts and xpenses incurred as result of such suspension (. payments to subcontr actors, cost of waiting time, demobilization and remobilization, etc.). Any contractual dates shall be extended for reasonable period to overcome the effects of the suspe nsion. 1. Termination 1.1 Either party may te rminate th is Contract with immedi ate eff ect by written notic , if the other party becomes bankru pt or insolvent, has receiving order mad against it or ompoun ds with its creditors, or carries on business under receiver, truste or manager for the benefit of its credito rs or goes into liquidation. 1.2 Save as provided under Clause 6.4 and Clause 1.1, the Customer may te rminate the Contract only in the ci rcumsta nces set out belo and in each case upon 1 days written notice
